Purpose:

Clarify the distinct roles and separation between L3BA and L3UP. 

Key Points: 

• L3BA: Unregistered community group (founded 2022). I’m Co-Founder, unpaid Board Member, and unpaid Project Director, organizing events and outreach in East Harlem. 

• L3UP: Separate non-profit (registering 2026). I’m Founder and paid Grant Director, securing grants and directing projects to support L3BA and others. 

• Separation: L3UP has its own board and finances. L3BA’s board votes as one on L3UP grants affecting the community of L3BA, but there’s no shared governance. 

• Compliance: I’ll ensure clear records, avoid conflicts of interest, and consult non-profit professionals for L3UP’s registration.

Conclusion:

L3BA and L3UP are legally distinct.
